ARTICLE ONE:

PREAMBLE:
Herewith established an NGO which is non-political, non-profit and non- religious entity.


ARTICLE TWO:

NAME:
The name of the Non-Governmental Organization shall be known and called as Maama Cee Virtuous
Women Organization.

ARTICLE THREE:

MOTTO:
The motto of the organization shall be known and called as ...we are on the move!!!

ARTICLE FOUR:

LOGO:
The logo of the NGO shall be the pictures, the name and the motto of the NGO with a red design circle.








ARTICLE FIVE:

LOCATION:
The NGO shall be located in the North Dayi District in the Volta Region and its registered office is located
at Vakpo Sec-Tech junction.


ARTICLE SIX:


AIMS AND OBJECTIVES:
1.  To assist and support the orphans, street children, broken homes, unemployed and aged people as a result of
well being and moral lifelike.
2.  To draw a support, plan and provide help for the orphans, street children, broken homes, unemployed and aged.
3.  To unveil the good things that may come out of the street children, unemployed, broken homes and the aged.
4.  To advocate for the crises of the broken homes, street children, unemployed and the aged.
5.  To establish Vocational Training School that will enable the unemployed, street children, broken homes etc. to
get a handy  work and make them feel at peace.
6.  To collaborate with other professionals or institutions to provide or assist the unemployed, street children,
broken homes and aged to get some training and skills that will make them recover from their physical, health and
other known conditions.
7.  To build a Vocational Sector for the unemployed, broken homes and the aged.
8.  To build hospital and a care home for the aged.

VISION:
Making the society in which the unemployed, street children, broken homes and the aged or older people are to
fulfill their potentials to live dignified, joyful, active and healthy lives.

MISSION:
To work and ensure that the street children are brought back to school/home, the broken home is reduce by
moral talks, the unemployed is reduced by the Vocational Training both in the Sectors and the aged are cared
both physical and healthy conditions in the hospitals of the organization.

ARTICLE SEVEN:


MEMBERS:
Membership shall be opened to people of the following categories, age 6 (six) to eighteen for the orphanages,
eighteen (18) years and above for the membership registration within the North Dayi District communities.

ARTICLE EIGHT:

FOUNDERS:
The founders of the NGO are two members. In the eventful demise of any of the founding members, the next of
kin of the deceased shall become a founding member. In the demise of the first Director, the second Director
shall assume the position of the first Director while the new founding member becomes the second Director.

ORGANIZATION:
The NGO shall be headed by a first (1st) Director who shall be one of the founders.
There shall be a second (2nd) Director who shall be the second founding member.
The NGO shall also have a Secretary.


ARTICLE NINE:


DECISION-MAKING:
Decision-making shall be taken on (50+1%) fifty plus one percent majority.


ARTICLE TEN:

VOTING:

Each of the founding member shall have one vote i.e. Each vote of a founder shall be counted as one.
The other three Board of Directors shall each have one vote.



ARTICLE ELEVEN:


BOARD OF DIRECTORS:

The board of Directors shall consist of two members. They shall be made up of two founding members shall
be members of the board.
The board of Directors shall be headed by a President, who shall be elected by the members of the organization.
The President shall be elected from the remaining executive of Directors. The president shall serve a term of one
year however he/she is eligible for re-election for another term upon hard work at a general meeting.
The Vice-President shall be appointed by the President and by the aid of the executive. The board of
Directors meeting shall be held three times in a year and if any emergency, it shall be resolved by the board.


ARTICLE TWELVE:


SELECTION AND APPOINTMENT:
The appointment of members to any position shall be the prerogative of the Directors.

ARTICLE THIRTEEN:


TERM OF OFFICE:
The term of office for any appointment for any position shall be one year however, the person may be re-appointed
for another term based upon the eligibility and hard working of the said person.

ARTICLE FOURTEEN:


DUTIES AND FUNCTIONS OF THE BOARD:
* Assist the work of the NGO and give recommendations to the Directors for implementation.
* Mobilize funds for the NGO.
* Approve budgets

ARTICLE FIFTEEN:

RESIGNATION AND REMOVAL:
A member of the Board of Directors who wishes to resign shall notify the President and the Director of the NGO
in writing at least three months.
A member of the Executive of the organization other than the two founders shall be removed from the position if his
or her conduct is detrimental to achieving the organizations objectives and or contravenes the code of conduct.

ARTICLE SIXTEEN:

QUORUM:
A quorum shall be formed when the two or one of the founders and two members of the Board of Directors
are present at a meeting.

ARTICLE SEVENTEEN:

AUDITOR:

The Administration shall appoint an auditor to audit the finances of the NGO.


ARTICLE EIGHTEEN:

STAFFING:

The NGO shall have a staff of nine members.
These are:
  * FIRST DIRECTOR: He/She shall provide direction for the NGO.
  * SECOND DIRECTOR: He/She shall be in charge of finance of the NGO.
  * SECRETARY: He/She shall be responsible for carrying out day to work of the NGO.
  * OTHERS: They shall be responsible for field work and rest a driver, cleaner as well as a Security.


ARTICLE NINETEEN:


FINANCE:

 * Monies obtained by the NGO shall be used only for the organization.
 * The financial year if the NGO shall be from January to thirty-first December each year.
  * The NGO shall organize fund raising activities for its programme.
 * The NGO shall seek donor support to help carry out its activities.
 * All monies of the NGO shall be kept in its accounts of a Bank.

The Signatories of the accounts shall be:
 * The first Director
 * Second Director

Any two of the above can transact business with the bank on behalf of the NGO.


ARTICLE TWENTY:

AMENDMENT:
Any provision of this constitution may be amended unless the two executives vote in favour.

This Constitution comes into effect from this day.......................of..........................in the year....................
